Lifeshield Terms and Conditions Agreement

This agreement is the complete and exclusive statement of the agreement between you and Lifeshield, LLC (herein referred to as The Company) to provide certain services (herein referred to as Services) and it supersedes all prior oral and written proposals and communications pertaining to the subject matter hereof.


Nothing in this Agreement affects any statutory rights of consumers that cannot be waived or limited by contract. Please retain a copy of your billing statement to establish proof of entitlement to the Service. Both you and The Company agree that under this Agreement, all information exchanged is confidential.


With regard to any services that are not within the coverage of this Agreement, it will be within The Companys' discretion whether to perform the services, and, if The Company elects to perform the services, the services will be subject to an additional charge to be paid by you.


If you do not agree to the terms below, you are not entitled to subscribe or use The Companys' identity protection and legal protection services.


Customer Responsibilities

It is the customer's duty to register their service agreement immediately upon receipt. Our Services and those of our partners or affiliates may not be provided or may be partially provided if registration has not been completed. There is a seven (7) day waiting period, starting from the time of your registration, before we, or our affiliates or partners will provide any ID Theft Recovery related services. No services will be provided for any event that occurs prior to the expiration of this seven (7) day waiting period.


You agree that you are only providing your own personal information and not the information of any other person. You further agree that the information you provide during the registration process and any subsequent information you provide to The Company will be true, accurate, and current. You are obligated to contact The Companys' client services in the event that any information you have previously provided has changed.


Service Delivery — Identity Protection Plan:

The Company and/or its affiliates will:

  1. request that Equifax, Experian or TransUnion, or other credit bureaus as should become appropriate, to place fraud alerts on your consumer reports to the extent permitted by 15 U.S.C. § 1681c-1. Your fraud alert can include up to two telephone numbers as provided by you. While you are our customer, we will attempt to renew these alerts as often as required to keep them active until such time that you notify us that you no longer have reason to believe or suspicion that you have been or may become a victim of credit fraud or such related crime, including identity theft;
  2. request, to the extent permitted by 15 U.S.C. § 1681b(e), that your name and contact information be removed from pre-approved credit card offers and mailing lists;
  3. request that your name and contact information be removed from junk-mail lists by using the mail opt-out options as established by the DMA (Direct Marketing Association);
  4. upon sign-up and once a year thereafter, order on your behalf your free annual credit reports from TransUnion, Experian, and Equifax, or other credit bureau as should become appropriate, and as permitted by 15 U.S.C. § 1681j(a).
  5. enroll customer in an ID theft legal protection plan, such as the one provided by Legal Club of America, for the duration of their enrollment in The Companys identity protection plan.
  6. enroll customer in an identity monitoring service for the duration of enrollment in The Companys identity protection plan.
  7. enroll customer (not available in New York State) in a $25,000 insurance policy, such as the one offered by AISLIC (American International Specialty Lines Insurance Company, a member company of American International Group, Inc.) applicable for recovering the cost of restoring a customers identity to its original status, in the case of theft.

The Company and/or its affiliates will:

  8. enroll customer in a family legal protection plan, such as the one provided by Legal Club of America, for the duration of their enrollment in The Companys' identity protection plan.


Billing

The Services include: unlimited content network and access to The Companys portal. All services are provided on an industry standard basis only, subject to the limitations of, and changes to, the IP network, any relevant LEC, and/or billing service. Customer assumes total responsibility for use of the Services, and accesses the Services at their own risk. The Services are provided without warranties of any kind, either expressed or implied. The cost for the complete service, content network and portal access is $14.95 or $24.95 per month (depending on service package requested), and is automatically billable at the beginning of each month until service is cancelled.


As per your online acceptance of the terms and conditions and accessing your alert portal as well as downloading The Companys client software obtained on the day of contact, the monthly charge will be billed to your phone bill (if applicable it may typically appear under the HSB/Enabill page of your telephone bill), credit card invoice, or checking account statement. The heading or description of the services will be the name of The Company or some abbreviation thereof and may me further identified as "ID Theft Monitoring", "Credit Protection" or other such related name.


You are responsible for the cost of the Services up to the end of the current billing cycle. The Company reserves the right to deny or withhold the provision of Services at its sole discretion; all fees collected from affected subscribers (if any) will be prorated and credited back to the Customer, for that period of time (if any) that might remain in a billing cycle after the date that service was denied, terminated or withheld. The Company reserves the right to add any value-added service without notice.


Internet content access charges are considered enhanced telecommunications services. You have the right to dispute enhanced telecommunication service charges billed on your telephone bill, credit card statement, or bank account statement.


(For Telephone Billed Customers Only) As a telephone service subscriber, you are not legally responsible for enhanced telecommunications service charges incurred by minors or vulnerable adults without your consent. Neither a long distance company nor a local service provider may disconnect your local telephone or long distance service because you refuse to pay an enhanced telecommunications service charge. Enhanced telecommunications service providers may employ other agencies to collect delinquent service charges, even if your local service provider has previously adjusted them from your telephone bill.


Refunds

All sales are final after 30 days.


Renewals

Your account will be automatically renewed each month on the anniversary date of your enrollment.


Cancellation

There is no long-term commitment with The Company. To cancel Service, you must contact our customer care department providing complete details of you account by any of the following methods:

Limitation of Liability

Consumer's sole and exclusive remedy and our and our partner's entire, collective liability in contract, tort or otherwise, under this service description is a refund of the amounts paid for the service that is the basis of the claim.


Consumer acknowledges and agrees that the services described herein are being provided by The Company. The Company makes no representations or warranties of any kind, either express or implied, as to the results of the credit alert, fraud alert, or ID recovery services including, without limitation, responses to any recipient of The Company. In no instance shall The Company be liable for direct, special, indirect, exemplary, or consequential damages or any damages whatsoever, including but not limited to, loss of use, data, or profits, without regard to the form of any action, including but not limited to contract, negligence, or other torturous actions, all arising out of or in connection with the services provided by the service provider.


Neither you, nor The Company will bring a legal action, under this Agreement, more than eighteen (18) months after the cause of action arose unless otherwise provided by local law without the possibility of contractual waiver or limitation. Neither you, nor The Company are responsible for failure to fulfill any obligations due to causes beyond its control.


Indemnification

You agree to indemnify, defend and hold The Company and any of its affiliates and all of their agents, directors, employees, information providers and licensors and licensees harmless from and against any and all liability and costs (including attorneys' fees and costs) incurred by any of these parties in connection with any claim arising out of any willful or intentional breach by you of these terms and conditions. In the event that either (a) you are the subject of claims for which you properly seek damages from us under these terms and conditions, or (b) we are subject to any claim for which we have the right to be indemnified by you, we reserve the right at our expense in the case of claims in clause (a) and at your expense in the case of claims in clause (b), to assume the exclusive defense and control of any such claim, and you will not in any event settle any such claim without our written consent.


Governing Law

Any dispute arising from this Agreement or the Services provided hereunder shall be governed by Florida law, without regard to conflict of law principles. Consumer agrees that, except as set forth in this paragraph, any and all claims or disputes arising out of or in connection with or in relation to this Agreement of the Services provided hereunder will be resolved by final and binding arbitration.


Arbitration

All arbitration proceedings will be held in the office of the American Arbitration Association closest to consumer's permanent residence. Any arbitration that arises out of this Service will be held in accordance with the American Arbitration Association's Commercial Arbitration Rules. The Federal Arbitration Act, 9 U.S.C. § 1, et seq., shall govern all arbitration proceedings under this Agreement or related to the Services provided hereunder.


Transfer

You may not assign, or otherwise transfer, this Agreement or your rights under it or delegate your obligation without prior written consent. Any attempt to do so is void. In the event that any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions of this Agreement remain in full force and effect. Neither The Company nor you may institute any action in any form arising out of this Agreement more than eighteen (18) months after the cause of action has arisen, or in the case of nonpayment, more than eighteen (18) months from the date of last payment.


Authorization

By accepting these terms and conditions, you authorize The Company, it's employees, partners, affiliates and certain third-party vendors to: complete and execute on your behalf documents required to provide the Service; speak to parties on your behalf as required to provide the Service; and, act as your personal representative under 15 U.S.C. § 1681c-1, under which consumers or their authorized representatives have the right to obtain fraud alerts and identity monitoring.

All other product names and company logos found on promotional materials are the trademarks of their respective owners. All promotional materials are protected by copyrights, which are either owned or licensed by The Company. You may not reproduce, perform, create derivative works from, republish, upload, post, transmit, or distribute in any way whatsoever any without the express, written consent of The Company.
